STREAMIX LTD. (“WE”, “OUR”, “US” OR THE “COMPANY”) WELCOMES YOU (“USER”, “YOU” OR “YOUR”) TO OUR STREAMING APPLICATION, [STREAMIX] (THE “APP” OR “STREAMIX”). THE FOLLOWING TERMS (THE “TERMS”) STIPULATE THE TERMS AND CONDITIONS OF YOUR USE OF THE APP. THE APP IS PROVIDED SOLELY FOR YOUR OWN USE. BY ACCESSING OR USING OUR APP, YOU AGREE TO THESE TERMS. YOUR USE OF THE APP IS EXPRESSLY CONDITIONED ON YOUR COMPLIANCE AND CONSENT WITH THESE TERMS. IF YOU DO NOT AGREE TO ANY OF THE PROVISIONS OF THE TERMS YOU SHOULD IMMEDIATELY STOP USING THE APP.
In addition to these Terms, please also review our Privacy Policy, available at www.streamix-tv.com, which these Terms are incorporated hereto by reference, along with such other policies of which you may be notified by us from time to time.
THE APP
These Terms govern your use of the App, which is designed to provide streaming services and access to play digital content on a compatible Internet-connected device (i.e., connected TV, streaming box, smart television) (each a “Device”). The App delivers certain digital content, including but not limited to, movies, television shows, advertisements, audiovisual streams, images, artwork, video, text, and audio (collectively, “Content”).
You acknowledge by either accessing or using the App, including but not limited to by either visiting or playing content on the App, that you have read these Terms, understand them, and agree to be bound by their terms.
You acknowledge that you are accepting these Terms on behalf of all persons who use the App on any Device you use or control. You are solely responsible for ensuring that all other users of the App on your Devices understand and comply with these Terms. You are liable for all unauthorized use of the App on your Devices. If you do not understand and agree to these Terms, you must not access or use the App, and you should uninstall and delete any instances the App or any related software you installed or downloaded on any of your Devices.
The Company, in its discretion, shall determine which features, functionality, and Content to make available through the App, and you acknowledge and agree that the Company can change the features, availability, and functionality at any time with no notice to you.
WE RESERVE THE RIGHT TO RESTRICT, SUSPEND, OR BLOCK YOUR USE OF THE APP IN THE EVENT WE DETERMINE THAT (1) YOUR USE OF THE APP IS IN VIOLATION OF THESE TERMS, (2) THE DEVICE THROUGH WHICH YOU ACCESS THE APP HAS BEEN HACKED, STOLEN, OR COMPROMISED, OR (3) CONTENT YOU ACCESS IS NOT PROPERLY AUTHORIZED OR LICENSED IN YOUR COUNTRY, VIOLATES APPLICABLE LAW, OR HAS BEEN IMPROPERLY PROVIDED TO YOU. WE MAY ALSO RESTRICT, SUSPEND, OR BLOCK YOUR USE OF THE APP IF WE BELIEVE IT IS NECESSARY TO PROTECT THE COMPANY, OUR AFFILIATES, OUR BUSINESS PARTNERS, OUR PERSONNEL, OTHER USERS OF THE APP, OR A CONTENT PROVIDER (AS DEFINED BELOW) FROM WHAT WE BELIEVE TO BE UNAUTHORIZED ACTIVITY.
REPRESENTATIONS & WARRANTIES
You hereby represent and warrant that: (i) you will access and use the App in compliance with any and all applicable law(s), rules(s) or regulation(s) (whether in the United States or other countries) and the terms and conditions of these Terms; (ii) you are at least 18 years of age and have all consents, rights and authority to provide and submit any and all information and content provided and submitted by you and all such information and content (a) are true, accurate, current and complete and we may rely on such information and content; (b) are not meant to harm Us or any third party; (c) do not contain or include viruses or other harmful codes; and (d) do not violate these Terms, or any applicable law, rule or regulation (whether of the United States or other countries).
USE RESTRICTIONS
We grant you a limited, non-sublicensable, non-transferable license to access, download, and use the App for your personal use and only in accordance with these Terms. You agree not to use the App for public or commercial performances of any kind. Except as we specifically agree in writing, no element of the App, including but not limited to the Content, may be used or exploited in any way other than as part of the authorized version made available to you. We may change, suspend, or discontinue the App, in whole or in part, for any users or all users or any set of users, at any time for any reason without notice or liability to you. We make no representations or warranties about the quality, accuracy, or availability of the App, including but not limited to the Content.
You may not (a) threaten, abuse, harass, or invade the privacy of any third party, or interfere with any other user’s ability to use or enjoy Streamix; (b) use or encourage or facilitate others’ use of any portion of Streamix for any unlawful purpose or in violation of applicable law; (c) use Streamix in a manner that suggests an association with our products, services, or brands except as agreed by us in writing; (d) provide fictitious information or conceal your identity or location, including in an attempt to circumvent limits associated with geographic Content restrictions; (e) either directly or through the use of any personal computer, browser, laptop, tablet, mobile phone, or other device or other means (i) remove, alter, bypass, avoid, interfere with, obstruct, decompile, reverse-engineer, disassemble, or circumvent any copyright, trademark, or other proprietary notices marked on the App or Content or any digital rights management mechanism, device, or other content protection or access control measure associated with Streamix or Content, or (ii) copy, download, stream, capture, reproduce, duplicate, archive, distribute, upload, publish, modify, translate, broadcast, perform, display, sell, frame, transmit, or retransmit the Content available on Streamix, or any part thereof or any materials derived therefrom, unless expressly permitted by us in writing; (f) knowingly or intentionally take any action that may impose an unreasonable burden or load on Streamix or its servers and infrastructure, or send unsolicited communications thereto. You are also prohibited from disabling, modifying, or interfering with Streamix to allow users to view Content without (i) displaying visibly both Content and all surrounding elements (including the graphical user interface, copyright notices, and trademarks), and (ii) having full access to all functionality permitting viewing of Content, including all video quality and display functionality and all interactive, elective, or click-through advertising functionality; (g) use any software or device that allows automated usage or expedited or other manipulation, and you agree not to modify Streamix to create a differential experience between users; (h) insert any code into Streamix or otherwise upload through any system a software virus or any other computer code or materials that may (i) disrupt, damage, or limit the functioning of Streamix or any computer software, hardware, or telecommunications equipment associated with Streamix, or (ii) enable or facilitate unauthorized access to Streamix or Content of ours or any third party; (i) incorporate, except as expressly authorized, Content into, or stream or retransmit the Content via, any hardware or software application or make Streamix or any Content available via frames or links, and you may not otherwise surround or obfuscate Streamix or Content with any third-party content, materials, or branding; (j) solicit or collect information about other users of Streamix or use any such information for (i) unauthorized or unsolicited advertising, junk, or bulk email, chain letters, or any other form of unauthorized solicitation, or (ii) any other commercial purposes; (k) not access, search and/or collect data from, or attempt to access, search and/or collect data from, Streamix by any means (whether automated or manual) other than through our currently available, published interfaces that are made available to you by us, unless Company has given its express written authorization to do so; (l) use any robots, spiders, crawlers, devices, scripts, or other data gathering or extraction software and/or tools, whether automated or manual, to access, acquire, copy, monitor, scrape, data mine, or aggregate any Content or any portion of Streamix for any purpose, and (ii) you may not use any Content for the purpose of directly or indirectly training, developing, or improving a software tool or service, including any artificial intelligence tool, model, system, or platform; (m) not build a business for commercial purposes, in whole or in part, resell, redistribute, or recirculate or make any other commercial use of, or create derivative works or materials utilizing, any portion of Streamix or Content, whether for profit or for no profit; (n) use Streamix in any way, except as otherwise agreed (i) to advertise any commercial endeavor or otherwise engage in any commercial activity (for example, offering products or services, conducting raffles or contests, or displaying sponsorship banners), or (ii) that solicits funds, advertisers, or sponsors, whether for profit or for no profit.
CONTENT
a) Streamix Content. Streamix includes or references Content that may be owned by us (“Streamix Content”) as well as third parties, including without limitation the Content Providers (“Third Party Content”) (collectively, the “Content”). As between you and Company, Company owns all right, title, and interest in and to the copyrights, trademarks, service marks, trade names, and all other intellectual property and proprietary rights throughout the world associated with Streamix and Streamix Content. Nothing herein will be deemed to convey to you any right, title, or interest in or to Streamix or Streamix Content.
b) Third Party Content. You acknowledge and agree that you are solely responsible for the choice and use of all videos and other content and information accessed through the App on your Device, which is provided by Content Providers. Company and its affiliates and licensors will have no liability for any Third Party Content, including without limitation your purchase or use of such Content or the availability, suitability, reliability, or performance thereof. Company does not endorse any Third Party Content or Content Providers. Company has no liability for Third Party Content available through the App on any Device that you find offensive, indecent, or objectionable.
b) Content Changes. Content on Streamix will change regularly, meaning new programs, channels, applications and Content will likely become available while other existing Content may stop being available. The availability of Content may change for various reasons, such as where the providers of third-party content withdraw or restrict our right to use that content on Streamix, or for legal or regulatory reasons.
c) Content Limitations. The availability of Content on Streamix may change from time to time and from place to place and may be edited, reformatted, or otherwise modified from the original version. Content types, ratings, reviews, genres, categories, and descriptions are provided as suggestions to help navigation. We do not guarantee that you will agree with these suggestions. You acknowledge that Content is inherently subjective, and Streamix may include Content that you find offensive, indecent, explicit, or otherwise objectionable (including, for example, if the Content contains outdated cultural references). You should not rely on the Content you view for advice, whether legal, medical, or otherwise. If you are susceptible to photosensitive epilepsy or other photosensitivities, please be aware that some Content may contain flashing lights or sequences of patterns.
d) Access to Content on the App requires an internet connection. Data charges may apply to access and/or stream Content, depending on your data plan with your internet service provider, which is your responsibility to pay. The display quality of streaming content can vary by device and is affected by many factors, including your internet speeds, Wi-Fi strength, and location. Company is not liable for the display quality of the streaming content on the App.
e) Infringement Policy. We respect the intellectual property of others, and we ask our users to do the same. Streamix and its Content are protected by copyrights, patents, trade secrets, or other proprietary rights. Some of the characters, logos, or other images incorporated by us in Streamix are also protected as registered or unregistered copyrights, trademarks, trade names, and/or service marks owned by us or others.
PROPRIETARY RIGHTS
The Company retains sole and exclusive ownership of all rights, title and interests in the App, the Streamix Content and all intellectual property rights relating thereto, including, without limitation, issued patents and pending patent applications with respect to the App, the Streamix Content and the technology related thereto. This provision shall survive termination and expiration of these Terms and shall remain in full force and effect thereafter.
ADVERTISING
a. User Acknowledgment. You acknowledge that by using the App, you may receive personalized or non-personalized advertisements. Personalized ads are based on information we collect about your Device, activities, preferences, and interactions with the App and other platforms.
b. Ad Tracking Technologies. We, or our third-party partners, may employ tracking technologies such as cookies, web beacons, and similar technologies to understand user behavior and interests, allowing us to enhance ad relevance and effectiveness.
FEES AND PAYMENT TERMS
a. App Fees. There are currently no fees to use the App itself.
b. Third-Party Fees. You may incur charges for accessing certain Content, for using the services of Content Providers (e.g., renting or purchasing a movie or paying a monthly subscription fee) (“Third-Party Fees”). Regardless of where the Third-Party Fees originate, you acknowledge and agree that you are solely responsible for paying all such charges incurred in connection with your use of the App, including all applicable taxes and governmental fees or assessments. As described below, these fees may be processed by or on behalf of the Company, its affiliates, or the applicable Content Providers.
c. Advance Payment; No Refunds. All purchases, including but not limited to Third-Party Fees, and other charges made by you or through your use of the App, are paid in advance (pre-paid) and non-refundable and non-cancelable. In addition to Third-Party Fees, you are responsible for all charges that are made by you through your use of the App. We reserve the right to re-submit a purchase transaction for any such fees or charges if your payment method is declined or suspend your access to the Content or the services for which payment has not been received. You are responsible for any bank fees, issuer fees, over-limit, non-sufficient funds, or other overdraft fees incurred.
d. Charges from Content Providers. Each Content Provider may require you to link your Content Provider account with a payment method (e.g., credit/debit card) and authorize the Content Provider to automatically charge such payment method for any Third-Party Fees originating from the Content Provider.
e. Charges from Company. To make certain purchases through the App, you will need to provide us with a valid credit/debit card that will be linked to your use of the App. You hereby authorize Company, its affiliates, or its or their third-party payment processors to charge your credit/debit card for Third-Party Fees. You acknowledge that any such charges are processed by Company or its affiliates on behalf of the Content Provider and the Content Provider’s charges are governed by the Third-Party Terms. If you remove your credit/debit card from the App or we are otherwise unable to charge your credit/debit card for any Third-Party Fees which are paid through credit/debit card on the App, we reserve the right to suspend your access to Content through the App or any App features. You agree that you will maintain updated credit/debit card information on the App. We will store your credit/debit card only as long as necessary to provide you with access to the App. For additional information on our use of your credit/debit card information or other personal information, see our Privacy Policy.
f. Your purchases, including but not limited to Third-Party Fees, and other charges made by you or through your use of the App, may be subject to sales or use tax. The amount and type of tax applicable to your purchase will depend on what was purchased and the applicable tax rules (where the product or service is sold). If your purchase is subject to a separate tax, it will be stated in the terms and conditions of the offer. You are responsible for paying for all taxes that are applicable to your purchases. Any pricing provided to you for such purchases does not include any associated data charges or internet access that may be required to access the Content and/or use the App.
THIRD PARTIES
a. Third Party Content Providers. The App is designed to enable access to compatible third-party platforms, products, and services offered by third-party content and service providers (“Content Providers”). To enable certain services or Content, you must have valid and verifiable accounts with the applicable Content Providers and agree to abide by any terms that govern the use of their products and services (“Third-Party Terms”). You represent and warrant that your Content Provider accounts which you access through the App are in good standing and that the use of the App on your Device will not be in violation of any applicable Third-Party Terms. You acknowledge that we have no control over Content Providers or the provision of or access to their services or Content. We do not guarantee that you will be able to use the App with any particular Content Providers’ offerings or that you will be able to access certain channels or Content. In addition to the warranty disclaimers referenced in Section 10 of these Terms, you acknowledge that we will have no liability for any actions or inactions on the part of the Content Providers resulting in your inability to access your accounts with Content Providers, or otherwise access or use their products or services or Content. You agree that you will use the products, services, or Content offered by Content Providers at your sole risk. Further, information you make available to Content Providers is subject to the privacy policies of such Content Providers.
COMPANY TRADEMARKS
Any and all trademarks, service marks, product names, and trade names of the Company appearing on or through the App are exclusively owned by the Company or its affiliates. All other trademarks, service marks, product names, and logos appearing on or through the App are the property of their respective owners. You may not use or display any trademark, service mark, product name, trade name, or logo appearing on the App without the owner's prior written consent.
DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY SET FORTH UNDER THE TERMS, THE APP IS PROVIDED ON AN "AS IS", “AS AVAILABLE” AND "WITH ALL FAULTS" BASIS, AND WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, THE COMPANY EXPLICITLY DISCLAIMS ANY WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND QUALITY OF SERVICE. THE COMPANY MAKES NO WARRANTY THAT THE APP WILL MEET YOUR EXPECTATIONS, WILL BE FREE FROM VIRUSES OR THAT DATA AND CONTENT OBTAINED THROUGH THE APP WILL BE ACCURATE, RELIABLE OR CURRENT, OR THAT THE APP WILL BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. YOU ACKNOWLEDGE AND AGREE THAT USE OF THE APP IS AT YOUR OWN DISCRETION AND SOLE RISK AND THAT THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE APP, INCLUDING, WITHOUT LIMITATION, ANY DAMAGES TO YOUR SYSTEM, DEVICE OR DATA STORED ON IT, IS SOLELY YOURS.
LIMITATION OF LIABILITY
YOU ACKNOWLEDGE AND AGREE THAT IN NO EVENT WILL THE COMPANY (INCLUDING, WITHOUT LIMITATION, ITS AFFILIATES AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS) BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LOSSES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE LIKE) ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE APP, OR IMPROPER USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE. YOU FURTHER ACKNOWLEDGE AND AGREE THAT THE COMPANY MAY CHANGE THE APP IN WHOLE OR IN PART IN ITS SOLE DISCRETION WITHOUT NOTICE TO YOU AND WITHOUT ANY LIABILITY TO YOU WHATSOEVER IN CONNECTION THEREWITH.
INDEMNITY
You agree to indemnify, defend, and hold harmless the Company and its affiliates and their respective employees, directors, officers, subcontractors and agents, against any and all claims, damages, or costs or expenses (including court costs and attorneys’ fees) that arise directly or indirectly from: (a) breach of these Terms by you; (b) any claim, loss or damage experienced from your use or attempted use of (or inability to use) the App; (c) your violation of any law or regulation; (d) your infringement of any right of any third party; and (e) any other matter for which you are responsible hereunder or under law. You agree that your use of the App shall be in compliance with all applicable laws, regulations and guidelines and shall not be intended to damage, disable, overload or impair the App or the servers on which it is hosted.
DATA COLLECTION AND USE
a. We respect your privacy, and Streamix will not access computer files or other information on your Device, except for those that are necessary for: (i) downloading, installing, or using Streamix, (ii) delivering relevant advertising and measuring ad performance, (iii) analyzing viewing patterns and content preferences, (iv) providing CTV platform services, or (v) for which we otherwise obtain your consent. We may collect and process information about your viewing habits, ad interactions, and device characteristics to improve our services and provide relevant advertising.

CHANGES TO THE TERMS
These Terms may be subject to periodical revisions or amendments, from time to time with or without notice, at our sole discretion; we encourage you to review the Terms regularly. The last revision will be reflected in the "Last Updated" heading. Your continued use of our App following any such amendments will be considered as your consent to the amended Terms. At all times, the latest version of these Terms shall be binding and prevail over any other version.
MISCELLANEOUS
These Terms constitute the entire agreement between the parties concerning the subject matter hereof. These Terms shall be governed by the laws of the state of New York without giving effect to any principles of conflicts of laws thereof, and the eligible courts in New York, NY, shall have exclusive jurisdiction over all disputes between the parties related to these Terms. You may not assign or otherwise transfer by operation of law or otherwise these Terms or any right or obligation herein without the express written consent of the Company. The Company expressly reserves its right to assign or transfer these Terms and to delegate any of its obligations hereunder at its sole discretion. If any part of these Terms is found void and unenforceable, it will not affect the validity of the balance of the Terms, which shall remain valid and enforceable according to its terms. The failure of the Company to act with respect to a breach of these Terms by you or others shall not constitute a waiver and shall not limit the Company's rights with respect to such breach or any subsequent breaches.
